1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Prismblank Security Ltd ("Company," "we," "our," or "us"), a corporation registered in Canada with VAT number 815039284 RT 0001, located at 150 9 Ave SW, Calgary, AB T2P 3H9, Canada.

By accessing, browsing, or using our website (www.prismblank.bond), services, products, documentation, or any related platforms (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must immediately cease access and use of the Services.

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to the website. Your continued use of the Services following any modification constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically for updates.

2. Services Description

Prismblank Security Ltd provides encryption, cryptographic advisory, security consulting, and related digital security services to Canadian organizations. Our Services include but are not limited to:

  • Encryption implementation and management
  • Cryptographic key management and secure storage
  • Security audits and assessments
  • Compliance consulting (PIPEDA, GDPR, PECA, etc.)
  • Advisory and consulting services
  • Training and educational resources

We provide these Services on an "as-is" basis. The specific scope, deliverables, timelines, and conditions of engagement will be detailed in separate service agreements, proposals, or statements of work ("SOWs").

3. Eligibility and Account Requirements

To use our Services, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Be a legally established Canadian organization, business, or authorized representative thereof
  • Have the authority to bind your organization to these Terms
  • Not be prohibited by law from using our Services
  • Not be subject to sanctions or export restrictions

If you create an account or register for our Services, you are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to provide accurate, truthful, and complete information during registration. You must notify us immediately of any unauthorized access or use of your account.

4. User Obligations and Conduct

By using the Services, you agree that you will not:

  • Use the Services for any unlawful, illegal, or fraudulent purpose
  • Attempt to gain unauthorized access to our systems, networks, or infrastructure
  • Engage in hacking, phishing, malware distribution, or cyberattacks
  • Violate any applicable laws, regulations, or third-party rights
  • Harass, threaten, defame, or abuse any person or entity
  • Disrupt or interfere with the operation or security of our Services
  • Reverse engineer, decompile, or attempt to derive source code or trade secrets
  • Violate the intellectual property rights of Prismblank Security Ltd or third parties
  • Use automated tools, scrapers, or bots without authorization
  • Transmit malicious code, viruses, or harmful materials

5. Intellectual Property Rights

All content, materials, tools, documentation, methodologies, designs, and technology provided by Prismblank Security Ltd, including but not limited to text, graphics, logos, images, software, and databases, are the exclusive property of Prismblank Security Ltd or our licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your authorized business purposes. This license does not include the right to:

  • Reproduce, copy, or duplicate any materials without written consent
  • Distribute, publish, or publicly display materials
  • Modify, alter, or create derivative works
  • Sublicense, sell, or transfer rights to third parties
  • Use materials for competitive purposes

All feedback, suggestions, and improvements provided by you regarding the Services may be used by Prismblank Security Ltd without restriction or compensation.

6. Confidentiality and Data Protection

Prismblank Security Ltd is committed to protecting your information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA), the General Data Protection Regulation (GDPR) where applicable, and Canadian privacy laws. Our detailed privacy practices are outlined in our Privacy Policy, which is incorporated into these Terms by reference.

You acknowledge that we may collect, process, and store personal information, business data, and technical information necessary to provide the Services. You consent to this collection and processing in accordance with our Privacy Policy. You are responsible for ensuring that you have obtained all necessary consents from individuals whose personal information you provide to us.

Information you provide to us is confidential. We will not disclose your information to third parties except as required by law, with your explicit consent, or as necessary to provide the Services. Our employees and contractors are bound by confidentiality obligations.

7. Payment Terms and Billing

Pricing for our Services will be provided in writing via proposal, SOW, or service agreement. All fees are exclusive of applicable Harmonized Sales Tax (HST), Goods and Services Tax (GST), or Provincial Sales Tax (PST), as applicable in Canada.

Payment terms, billing cycles, and accepted payment methods will be specified in your service agreement. Invoices are due within the timeframe specified (typically 30 days from invoice date). Late payments may result in:

  • Suspension of Services
  • Late payment charges of 1.5% per month or the maximum rate permitted by law
  • Recovery of collection costs and legal fees

We reserve the right to modify pricing upon 30 days' written notice. Continued use following notice constitutes acceptance of new pricing.

8. Service Availability and Support

While we strive to maintain service availability and reliability, we do not guarantee uninterrupted or error-free Services. We may perform maintenance, updates, or emergency repairs that may temporarily disrupt Services with or without advance notice.

Support services, including response times and availability, will be defined in your service agreement or support plan. Standard support hours are Monday through Friday, 9:00 AM to 5:00 PM Mountain Standard Time (MST). Emergency support may be available at additional cost.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRISMBLANK SECURITY LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY
  • COST OF SUBSTITUTE GOODS OR SERVICES
  • REPUTATIONAL HARM OR BUSINESS INTERRUPTION

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS AND THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR $1,000 CAD, WHICHEVER IS GREATER.

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, etc.) and even if we have been advised of the possibility of such damages.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. PRISMBLANK SECURITY LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT OR TITLE
  • WARRANTIES OF SECURITY, ACCURACY, OR COMPLETENESS
  • WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE

We do not warrant that the Services will meet your specific requirements, that defects will be corrected, or that any Services, content, or information is accurate or timely. You use the Services at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless Prismblank Security Ltd and its directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Services in violation of these Terms
  • Your violation of any applicable law or third-party right
  • Your content, data, or materials provided to us
  • Your conduct or actions related to the Services

12. Third-Party Links and Content

Our Services may contain links to third-party websites, resources, or services ("Third-Party Services"). We do not endorse, control, or assume responsibility for Third-Party Services, their content, accuracy, or practices. Your access and use of Third-Party Services is at your own risk and subject to their respective terms and conditions.

Prismblank Security Ltd is not liable for any loss, damage, or claim arising from your use of Third-Party Services.

13. Termination and Suspension

We may terminate, suspend, or restrict your access to the Services immediately and without notice if:

  • You violate any provision of these Terms
  • You engage in unlawful or harmful conduct
  • You fail to pay invoices when due
  • We reasonably believe your conduct poses a security risk
  • Required by law or legal process

You may terminate your use of the Services at any time by ceasing access. Termination of your account does not relieve you of obligations for fees incurred prior to termination. Upon termination, we will delete your account data in accordance with our data retention policies and applicable law.

14. Export Compliance

You acknowledge that encryption services and technologies are subject to Canadian export control regulations, including the Criminal Code of Canada and export regulations administered by Global Affairs Canada. You agree that you will not:

  • Export or re-export our Services to prohibited countries or entities
  • Use our Services for prohibited end uses or end users
  • Violate any sanctions or export control requirements

You are responsible for ensuring compliance with all applicable export laws and regulations in your jurisdiction.

15. Security and Risk

While Prismblank Security Ltd implements industry-standard security measures to protect the confidentiality, integrity, and availability of data and systems, no security system is completely secure. You acknowledge and accept that:

  • Data breaches, cyberattacks, or unauthorized access may occur despite security measures
  • You are responsible for implementing appropriate security controls on your systems
  • You should maintain secure backups of critical data
  • You should monitor your account for suspicious activity

16. Dispute Resolution and Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Calgary, Alberta.

Before pursuing legal action, we encourage you to contact us directly to attempt resolution of any dispute. If you are a consumer and dispute resolution is required, you may be entitled to use alternative dispute resolution mechanisms as provided by applicable law.

17. General Provisions

Entire Agreement

These Terms, together with any service agreements, SOWs, and our Privacy Policy, constitute the entire agreement between you and Prismblank Security Ltd concerning the Services and supersede all prior and contemporaneous agreements, representations, and understandings.

Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Prismblank Security Ltd.

Amendments

We reserve the right to amend these Terms at any time. We will notify you of material changes via email or by posting notice on our website. Your continued use of the Services following notice of changes constitutes acceptance of the amended Terms.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Prismblank Security Ltd may assign these Terms and the Services to any successor

Notices

Any notice required under these Terms must be in writing and delivered by:

Notices are effective upon receipt or, if mailed, three business days after mailing.

Force Majeure

Prismblank Security Ltd shall not be liable for any failure or delay in performing our obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government action, or internet infrastructure failures. In such cases, we will notify you and resume performance when circumstances permit.

Relationship of Parties

The relationship between you and Prismblank Security Ltd is that of independent contractor and service provider. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

18. Compliance with Laws

You agree to comply with all applicable federal, provincial, and territorial laws, regulations, and industry standards in Canada and your jurisdiction when using the Services. Prismblank Security Ltd complies with:

  • Personal Information Protection and Electronic Documents Act (PIPEDA)
  • General Data Protection Regulation (GDPR) for applicable data processing
  • Privacy Act and applicable provincial privacy legislation
  • Anti-spam legislation (CASL) and email marketing regulations
  • Canadian Cybersecurity Act provisions
  • Export controls and national security regulations

19. Acceptable Use Policy

In addition to the obligations outlined in Section 4, you agree to the following acceptable use restrictions:

  • Do not use the Services to develop competing products or services
  • Do not benchmark or reverse engineer our Services
  • Do not conduct security testing without prior written authorization
  • Do not attempt to identify security vulnerabilities without authorization
  • Do not publicly disclose any security issues without following responsible disclosure procedures
  • Do not use Services for high-risk activities without appropriate risk assessments

20. Responsible Disclosure

If you discover a security vulnerability or issue with our Services, we request that you disclose it responsibly by contacting secure@prismblank.bond rather than publicly disclosing the issue. Please include:

  • A detailed description of the vulnerability
  • Steps to reproduce the issue
  • Potential impact and severity assessment
  • Your contact information

We will acknowledge receipt within 48 hours and work to address the issue promptly. We appreciate your cooperation in helping us maintain security for all users.

21. Professional Advice Disclaimer

While Prismblank Security Ltd provides encryption and security consulting services, our Services do not constitute legal advice, tax advice, or professional advice in areas outside our scope of expertise. You should consult with qualified legal, tax, and professional advisors regarding your specific situation. We are not liable for any reliance on our Services outside their intended scope or for failure to seek appropriate professional counsel.

22. Service Level Agreements

Specific service level agreements (SLAs), uptime guarantees, and performance metrics, if any, will be detailed in your service agreement or support plan. If no SLA is specified, we provide Services on a best-effort basis without any uptime or performance guarantees.

23. Data Retention and Deletion

Upon termination or cancellation of Services, we will:

  • Provide you with a reasonable opportunity to retrieve your data
  • Delete your account data within 30 days of termination, unless longer retention is required by law
  • Maintain encrypted backups for disaster recovery purposes as needed
  • Retain transaction records and communications as required for legal, tax, and regulatory compliance

24. Business Continuity and Disaster Recovery

Prismblank Security Ltd maintains backup systems and disaster recovery procedures to protect against data loss and service interruption. However, we do not guarantee zero data loss or instantaneous recovery in all scenarios. You are responsible for maintaining your own backups of critical data.
